1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Nyroxis ("we," "us," or "our"), governing your access to and use of the Nyroxis AI platform available at https://nyroxis.ai ("Service").

By registering an account, accessing, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not use the Service.

2 Description of Service

Nyroxis AI is a cybersecurity intelligence SaaS platform that provides AI-powered assistance for security professionals, IT teams, and organizations. The Service includes:

• AI-powered analysis of cybersecurity threats, vulnerabilities, and incidents
• CVE lookup and explanation, MITRE ATT&CK mapping
• Incident response guidance and log analysis assistance
• NIS2 and GDPR compliance guidance
• Image analysis of security-related content (paid plans)
• Multi-user team workspace with shared investigation quotas (Team and Business plans)

The Service is powered by Anthropic's Claude AI model and hosted on OVH infrastructure in the European Union.

3 Account Registration

To access the full Service, you must create an account by providing a valid email address and password. You agree to:

• Provide accurate and complete registration information
• Verify your email address to activate your account
• Keep your password confidential and not share it with any third party
• Notify us immediately of any unauthorized use of your account at contact@nyroxis.com
• Be at least 16 years of age to create an account

You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from unauthorized account access due to your failure to maintain account security.

4 Acceptable Use

You agree to use Nyroxis AI only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to facilitate any illegal activity, including unauthorized access to computer systems
• Attempt to circumvent, disable, or interfere with the Service's security features
• Use the Service to develop, test, or deploy malware, ransomware, or malicious code
• Attempt to reverse engineer, decompile, or extract the underlying AI models
• Share, resell, or sublicense access to the Service without our written consent
• Use automated means (bots, scrapers) to access the Service beyond normal usage
• Upload content that is illegal, harmful, defamatory, or infringes third-party rights
• Misrepresent your identity or impersonate any person or organization
• Use the Service to engage in any form of harassment, abuse, or threatening behavior

We reserve the right to suspend or terminate accounts found in violation of these usage policies, with or without prior notice, at our sole discretion.

5 Subscriptions & Payments

Nyroxis AI offers the following subscription plans:

Billing: Payments are processed exclusively by Lemon Squeezy, who acts as the Merchant of Record. By subscribing, you agree to Lemon Squeezy's Terms of Service. We do not store or process payment card details.

Subscription renewal: Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time through your Lemon Squeezy account.

Free Trial: All new accounts receive a 7-day free Pro trial automatically upon email verification — no credit card required. This trial gives you full access to Pro features before any payment.

Refunds: Because a free trial is provided before any payment is required, payments made after the trial period are generally non-refundable, except where required by applicable law. If you experience significant service disruption, contact us at contact@nyroxis.com.

EU Withdrawal Right: By subscribing to a paid plan after your free trial, you acknowledge that the Service has already been provided during the trial period and expressly waive your right of withdrawal under EU Consumer Rights Directive (2011/83/EU), to the extent permitted by applicable law.

Investigation quotas: Unused investigations do not roll over to the next billing period. Monthly quotas reset on the same date each month.

Downgrade: If you cancel a paid subscription, your account reverts to the Free plan at the end of the current billing period. Paid plan conversation history is retained for 30 days after downgrade before being subject to free plan retention policies.

6 AI Disclaimer — Important

The AI responses generated by Nyroxis AI:

• May contain errors, inaccuracies, or outdated information
• Should not be relied upon as the sole basis for security, legal, or compliance decisions
• Do not replace the advice of qualified cybersecurity professionals, lawyers, or compliance experts
• May not reflect the most recent threat intelligence or vulnerability disclosures

You are solely responsible for verifying the accuracy of any information provided by the Service before acting upon it. We strongly recommend consulting qualified professionals for critical security decisions.

7 Intellectual Property

Our content: All software, design, trademarks, logos, and content of the Nyroxis AI platform are owned by Nyroxis and protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any part of the Service without our prior written consent.

Your content: You retain ownership of the messages and content you submit to the Service. By submitting content, you grant us a limited, non-exclusive license to process it solely for the purpose of providing the Service.

AI outputs: Responses generated by the AI assistant are provided for your use. You are responsible for how you use these outputs and for ensuring they comply with applicable laws.

8 Privacy & Data

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal data in accordance with the GDPR.

Key points:

• Your chat messages are processed by Anthropic's Claude API (servers in the USA) under Standard Contractual Clauses
• Your data is never used to train AI models
• We do not use cookies or tracking technologies
• You can delete your account and all associated data at any time from within the app

9 Termination

By you: You may terminate your account at any time by using the "Delete Account" feature in the app, or by contacting us at contact@nyroxis.com. Account deletion is permanent and all your data will be erased.

By us: We reserve the right to suspend or terminate your account immediately and without prior notice if:

• You violate any provision of these Terms
• Your use of the Service poses a security risk or legal liability
• Required by applicable law or court order
• Extended periods of inactivity (Free plan: accounts inactive for more than 12 months)

Upon termination, your right to access the Service immediately ceases. We will retain and process your personal data in accordance with our Privacy Policy.

10 Disclaimer of Warranties & Limitation of Liability

Service provided "as is": The Service is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The Service will be uninterrupted, error-free, or completely secure
• The AI-generated content will be accurate, complete, or up-to-date
• The Service will meet your specific security or compliance requirements

Limitation of liability: To the fullest extent permitted by applicable law, Nyroxis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total cumulative liability to you for any claims arising from these Terms or the Service shall not exceed the amount you paid to us in the three months preceding the claim, or €100, whichever is greater.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable EU law.

11 Governing Law & Dispute Resolution

These Terms are governed by the laws of the European Union and applicable French law, given our EU-based infrastructure and operations.

If you have a dispute with us, we encourage you to first contact us at contact@nyroxis.com to resolve the matter informally. We commit to responding within 30 days.

We are committed to resolving any concerns directly and promptly. If needed, disputes may be referred to the competent courts under applicable EU law.

Consumer rights: If you are an EU consumer, nothing in these Terms affects your statutory rights under EU consumer protection law.

12 Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify registered users by email at least 14 days before significant changes take effect

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.
